A leading Company in the logistics business wanted to divest its stake to a strategic investor and sought support in the process. While talking to investors, the Company faced challenges in narrating its strategy and “story” depicting its credentials. Also, its current team was caught up with day-to-day operations and CFO Bridge was roped in to address this gap and work help the promoters in the entire process
Observations and Approach

- Studies Prepared the entire narrative and investment rationale – IM/pitch-deck/5-year business plan. This also involved analysis of past financials to arrive at adjusted EBITDA [basis for valuation discussions].
- Evaluated prospects from a commercial and compatibility perspective to shortlist best buyer and ensure most suitable terms for the promoters.
- Led Negotiations with buyer with respect to the valuation, structuring, agreements, and transition process.
- Led financial, operational, and legal DD on behalf of the Company.
- Managed the finance function during the complex transition process, thereby ensuring zero disruption to day-to-day operations.

- Benefit to the Company in excess of USD 2 MN vis-à-vis initial offers through negotiations.
- Successful conclusion of transaction and timely receipt of consideration.
